End User License Agreement

1. What This Agreement Covers

This End User License Agreement (the "Agreement") is a legal agreement between you and Voice2Jobs, Inc. ("Voice2Jobs", "we", "us") covering the Voice2Jobs mobile and desktop applications, the web application, and any updates, upgrades, or documentation we provide for them (together, the "App").

By downloading, installing, or using the App, you accept this Agreement. If you do not accept it, do not install or use the App. This Agreement sits alongside our Terms of Use and Privacy Policy. The Terms of Use govern the Voice2Jobs service as a whole, including your account, your subscription, and the content you create. This Agreement governs the software itself. Where the two documents cover the same subject, this Agreement controls for questions about the software license, and the Terms of Use control for everything else.

2. The License We Grant You

Voice2Jobs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App for as long as this Agreement remains in effect. This license is a permission to use the software. It is not a sale, and no ownership of the App passes to you.

Mobile apps: you may install and use the App on any Apple-branded device that you own or control, as permitted by the App Store Terms of Service in force at the time, and on Android devices you own or control.
Web app: you may access the App through a browser using the credentials issued to you.
One person per seat: your credentials are personal to you. Team and Enterprise accounts must give each team member their own login rather than sharing one.
Revocable: the license ends automatically when this Agreement ends. See section 9.

3. Scope of Permitted Use

You may use the App for your own personal use and for the internal business use of the company or organization whose account you are using. Practically, that means:

Running your own contracting or trade business: quoting, invoicing, managing clients, collecting payment, and the other features described in section 2 of the Terms of Use.
Sending documents the App generates, such as quotes, invoices, and contracts, to your own clients.
Inviting your own team members to your account, where your plan allows it.

The features available to you, the number of team seats, the AI voice allowance, and the storage and retention periods depend on the plan you are subscribed to. Plan inclusions are set out on our pricing page and in section 4 of the Terms of Use. Using a feature outside your plan, or exceeding a plan limit, is outside the scope of this license.

4. Restrictions

You may not, and you may not permit anyone else to:

Copy the App, except for the ordinary copying that installing and running it involves.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, model prompts, or internal structure of the App, except to the narrow extent that applicable law expressly allows despite this restriction.
Modify the App, create derivative works from it, or remove, obscure, or alter any copyright, trademark, or other proprietary notice it displays.
Sell, resell, rent, lease, lend, distribute, sublicense, assign, or otherwise transfer the App or your rights under this Agreement.
Offer the App, or any part of it, to third parties as a hosted or managed service, a white-label product, or a service bureau.
Access the App, or the systems behind it, by any means other than the interfaces we provide, including through scrapers, automated agents, or unofficial clients, unless we have given written permission.
Circumvent or attempt to circumvent any plan limit, usage meter, license check, or security control in the App.
Use the App to build, train, or benchmark a competing product.
Use the App unlawfully, or in a way that infringes anyone's rights, or in a way that would breach the acceptable use rules in section 9 of the Terms of Use.

5. Ownership

The App is licensed, not sold. Voice2Jobs, Inc. and its licensors own the App and everything in it, including its source code, design, user interface, branding, trademarks, documentation, and the prompts and configuration behind its AI features. All rights not expressly granted to you in this Agreement are reserved. Nothing in this Agreement transfers any intellectual property right in the App to you.

6. Your Content

Your content stays yours. You keep ownership of the quotes, invoices, client records, voice recordings, photographs, and documents you create or upload through the App, and you grant Voice2Jobs only the limited license needed to store, process, and display that content so the App can work for you. The full terms are in section 10 of the Terms of Use, and this Agreement does not change them. If you believe content in the App infringes your copyright, our DMCA Policy explains how to send a takedown notice.

7. Updates and Changes to the App

Voice2Jobs may release updates, patches, and new versions of the App, and may add, change, or withdraw features. Updates delivered through an app store are governed by that store's settings on your device, and some updates are required in order to keep using the App. This Agreement applies to every update unless the update ships with its own license terms, in which case those terms apply to that update. We may also change this Agreement itself. Changes are posted on this page with a new "Last Updated" date, and continuing to use the App after that date means you accept the revised Agreement.

8. Subscriptions and Purchases

The App includes a free tier and paid subscription plans. Prices, billing periods, renewal, and cancellation are described on our pricing page and in section 4 of the Terms of Use. If you buy a subscription inside an app on Apple's App Store, the purchase is processed by Apple, it renews automatically unless you turn renewal off at least 24 hours before the period ends, and you manage or cancel it in your Apple account settings rather than in the App. Refunds for App Store purchases are handled by Apple under Apple's policies. If you buy a subscription on the web, it is processed by Stripe and you manage it on the Billing page in the App.

9. Term and Termination

This Agreement takes effect when you first install or use the App and continues until it is terminated.

You may terminate at any time by deleting the App from your devices and closing your account.
Voice2Jobs may terminate or suspend this license if you breach this Agreement or the Terms of Use, or if we stop offering the App.
Termination is automatic, without notice, if you breach section 4.

When this Agreement ends, your license ends with it: stop using the App and delete every copy of it in your possession. Sections 5, 6, 10, 11, 12, 13, and 14 survive termination, and so does any outstanding payment obligation. What happens to your data after termination is set out in section 12 of the Terms of Use. Note in particular that Audit Vault records are immutable and are kept for their full seven-year period regardless of account status.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICE2JOBS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. Voice2Jobs does not warrant that the App will be uninterrupted, error free, or secure, or that its AI output will be accurate or complete. AI features produce suggestions, and you remain responsible for reviewing and approving anything the App generates before you rely on it or send it to a client. See section 5 of the Terms of Use. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICE2JOBS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOST OR CORRUPTED DATA, ARISING OUT OF OR RELATING TO THE APP OR THIS AGREEMENT. OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. Nothing in this Agreement limits liability that cannot lawfully be limited.

12. Apple App Store and Other App Stores

The following terms apply when you obtain the App from a third-party app store, and in particular from Apple's App Store. In this section, "Apple" means Apple Inc. and its subsidiaries.

This agreement is with us, not Apple. You acknowledge that this Agreement is concluded between you and Voice2Jobs, Inc. only, and not with Apple. Voice2Jobs, and not Apple, is solely responsible for the App and its content.
Scope of license. The license granted to you for the App is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you through Family Sharing or volume purchasing where Apple makes that available.
Maintenance and support. Voice2Jobs is solely responsible for providing any maintenance and support services for the App. Apple has no obligation whatsoever to furnish any maintenance or support services for the App.
Warranty. To the maximum extent permitted by applicable law, Apple has no warranty obligation whatsoever with respect to the App. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you, if you paid one. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are the sole responsibility of Voice2Jobs.
Product claims. Voice2Jobs, and not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession or use of the App, including product liability claims, any claim that the App fails to conform to an applicable legal or regulatory requirement, and any claim arising under consumer protection, privacy, or similar legislation. This Agreement does not limit Voice2Jobs' liability to you beyond what applicable law permits.
Intellectual property claims. If a third party claims that the App or your possession and use of the App infringes that third party's intellectual property rights, Voice2Jobs, and not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export control and sanctions laws when using the App, including the U.S. Export Administration Regulations and Canadian export controls, and you agree not to use, export, or re-export the App in violation of them.
Third-party terms. You agree to comply with any applicable third-party terms of agreement when using the App, including the terms of your wireless data plan.
Apple as third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right, and is deemed to have accepted the right, to enforce this Agreement against you as a third-party beneficiary of it.
Contact for questions and support. Address any questions, complaints, or claims about the App to Voice2Jobs using the contact details in section 15.

Where you obtain the App from another distributor, such as Google Play, the equivalent terms of that distributor apply in place of the Apple-specific terms above, and that distributor is likewise not a party to this Agreement.

13. U.S. Government End Users

The App is "commercial computer software" and "commercial computer software documentation" as those terms are used in FAR 12.212 and DFARS 227.7202. U.S. Government end users acquire only the rights set out in this Agreement, and no greater rights.

14. Governing Law and General Terms

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles, and the courts of Toronto, Ontario have exclusive jurisdiction, except where the mandatory consumer protection laws of your home jurisdiction give you a non-waivable right to bring a claim, or to have a claim governed, locally. That mirrors section 15 of the Terms of Use. If any provision of this Agreement is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. This Agreement, together with the Terms of Use and Privacy Policy, is the entire agreement between you and Voice2Jobs about the App.
